The 2020 edition of Advisen's Transaction Insurance Insights Conference will look at the forces at work in the transaction insurance sector and how they are shaping underwriting criteria, coverage terms, and pricing in this still developing insurance line.
The U.S. economy is experiencing robust growth, but some economists see storm clouds on the horizon. Has strong growth coupled with low interest rates fueled M&A? What happens when the economy slows? Our keynote speaker will explain the forces at work on the economy and how they impact M&A.
Hear from representatives of both financial and strategic acquirers about their objectives when buying transaction insurance, how well those objectives are being met, and what insurers can be doing better.
What are the significant issues facing transaction insurance underwriters today? Which emerging issues will be important in the months and years to come? A panel of top underwriters will offer their insights on topics including rates, retentions, new industries and deal types, minority transactions, and new applications of transaction insurance.
A panel of reinsurers will share their views on the transaction insurance market, focusing on issues such as claims trends, capacity, pricing, and concerns about aggregation of risk. They also will address product-specific concerns with contingent risk and tax liability insurance.
Most policyholders who file a Reps & Warranties policy claim are experiencing it for the first time. They don’t know what to expect or how to best work with the insurer in getting the claim validated. The discussion will provide the perspective from a forensic accountant’s experience on ways that both the policyholder and the insurer can make the claims process more efficient and less stressful.

1:45pm – 2:15pm Contingent Liability Insurance: A Tool for Getting Deals Done Contingent liability insurance can be a flexible and powerful tool for getting difficult deals done. This session will review several real-life situations where the creative use of contingent liability insurance solved thorny problems standing in the way of an M&A deal getting completed.
2:15pm – 3:00pm Tax Insurance: A Product Overview A disagreement with the IRS over a tax position can be “deal critical” in an M&A transaction. This session will look at various M&A scenarios involving tax issues and show how insurance can be used to provide buyers the protection they require.
| 1:45pm – 2:15pm Words Matter: Language in Policy Wordings and Purchase Agreements M&A transactions can be complex, and reps & warranties policies must be adaptable to a range of deal types and structures. This session will look at how various policy wordings in the market might respond to commonly-encountered scenarios such as a no seller indemnity deal, and what sorts of coverage issues may be encountered. The interaction between purchase agreement language and policy language will also be addressed.
2:15pm – 3:00pm Making the Case for Insuring Challenging Risks This session will look at the specific underwriting considerations for challenging-to-insure industries such as energy, healthcare, and cannabis from the perspective of an insurance buyer making a case for coverage.
